Please read these Terms of Use (“Terms”) carefully before using locatiedge.com or submitting a scholarship application to us (the “Site”). The Site is owned and operated by Locati Edge, a registered 501(c)(3) organization that awards opportunity scholarships to your who are interested in pursuing experiential learning in the areas of art, education, and amateur sports (“we,” “us,” or “our”). These Terms apply to all visitors to our Site and users of the features, functionality and tools available on or through our Site (“you”). By accessing or using the Site, including browsing, viewing content, or submitting application information through the Site, you agree to be bound by these Terms and our Privacy Policy, available here: https://locatiedge.org/privacy-policy/ (the “Privacy Policy”). If you do not agree to these Terms, you must not access or use the Site.

1. Use of the Site

We operate the Site to provide information about our scholarship program to potential applicants, intake scholarship applications, and collect charitable donations. Your use of our Site must be consistent with its purpose and design.

We do not accept applications from anyone under the age of 18 unless the application includes the consent of the applicant’s parent or guardian. By providing consent to the submission on behalf of anyone under the age of 18, you represent and warrant to us that (i) you are over the age of 18, (ii) you are the parent or legal guardian of the scholarship applicant, with the legal right and authority to consent to our collection and use of your child’s personal information, and (iii) that you are the person identified as the “Parent or Legal Guardian” on the application form. Misrepresenting your identity or your relationship to a scholarship applicant is a violation of these Terms and we reserve all rights and remedies available to us in connection therewith, including, without limitation, rejecting, denying or revoking the application.

2. Unlawful and Prohibited Activities.

By accessing the Site, you agree that you will not (and will not facilitate, permit or otherwise enable a third party to):

  • Use the Site in violation of these Terms;
  • Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others through the Site or in connection with their use of the Site;
  • Upload or transmit any message, information, data, text, software, images, or other content that is unlawful, immoral, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable, or that may invade another’s right of privacy or publicity;
  • Circumvent, disable, or otherwise interfere with security-related features of the Site;
  • Use or launch any automated system, including without limitation, any robots, spiders, or offline readers, that accesses the Site in a manner that sends more request messages to the servers hosting the Site in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser;
  • Upload or transmit any software, application, program, or file that modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operations, or maintenance of the Site;
  • Decipher, decompile, disassemble, or reverse engineer any of part of the Site, or any tool or feature available through the Site;
  • Upload or transmit any unsolicited advertising, promotional materials, junk mail, spam, or any other form of solicitation, commercial or otherwise;
  • Violate any applicable local, state, national, or international law;
  • Download, duplicate, reproduce, or distribute any copyrighted material available on or through the Site without the express permission of the owner thereof;
  • Delete or revise any material posted by any other person or entity;
  • Use the Site in any manner that damages, disables, overburdens, or impairs any part of the Site or interferes with any other party’s use and enjoyment of the Site;
  • Harvest or otherwise collect information about others, including e-mail or IP addresses;
  • Use any robot, scraper, or other automated means to access the Site or copy any materials on the Site;
  • Communicate any false or fraudulent information, including with respect to your identity, organizational affiliation(s), or contact information;
  • Make improper use of our customer support services or submit false reports of abuse or misconduct; or
  • Harass, intimidate, or threaten any of our employees or representatives through or in connection with your use of the Site.

We reserve the right, but shall not have the obligation, to (i) monitor the Site for violations of these Terms; (ii) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms, including without limitation, by reporting such user to law enforcement or any other governmental authority; (iii) in our sole discretion and without limitation, refuse, restrict, limit the availability of, or disable (to the extent technologically feasible) your access to the Site or any portion thereof; (iv) in our sole discretion and without limitation, notice or liability, remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (v) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the security, integrity and availability of the Site.

3. Your Representations and Warranties

By using the Site, you represent and warrant that: (i) you have carefully reviewed and agree to these Terms and our Privacy Policy; (ii) you intend such agreement to be legally binding and enforceable; (iii) any information you submit to us through the Site (including any third-party integrations, such as our scholarship application and other structured forms) will be true, accurate, current and complete; (iv) you will not acquire any ownership interest in the Site, or any component or feature thereof, by accessing or using it; and (v) you will not use the Site for any illegal or unauthorized purpose (including, without limitation, any purpose prohibited under this Terms).

Should you elect to submit any material to us through the Site (whether in connection with a scholarship application or as part of an unstructured message), you represent and warrant that you have all right, title, and interest to that material, including but not limited to, any consent, authorization, release, clearance or license that may be required by any third party with a proprietary or privacy right therein. You further represent that the submission of such material does not violate or constitute the infringement of any patent, copyright, trademark, trade secret, right of privacy, right of publicity, moral rights, or other intellectual property right recognized in any application jurisdiction (whether with respect to you, Locati Edge or to the Site) or otherwise constate a breach of any agreement with any other person or entity. You agree to indemnify, defend and hold Locati Edge and its affiliates (collectively, the ”Locati Edge Indemnified Parties”) harmless for any alleged or actual infringement or misappropriation of any proprietary right in the material you submit to us.

4. Intellectual Property

The Site and all of its original content, features, and functionality are the property of Locati Edge and are protected by applicable U.S. and international copyright, trademark, and other intellectual property and unfair competition laws. We have expended considerable time, effort and resources to create the Site and provide the information, features, materials, products, artwork, images, text, audio and video material, tools and services that are available on or through the Site, as well as the design, structure, functionality, arrangement, look and feel of the Site itself (collectively, the “Locati Edge Content”). All Locati Edge Content posted on or available through the Site, as well as the trademarks, service marks, and logos contained therein (the “Locati Edge Marks”) is owned or licensed by us. Our posting of Locati Edge Content to the Site, and use of the Locati Edge Marks in connection therewith, does not constitute a waiver of any proprietary or intellectual property right in the Locati Edge Content or the Locati Marks and does to transfer any right to you or any third party, except as expressly provided for herein. You may not reproduce, distribute, modify, publicly display, or create derivative works from the Locati Edge Content or use the Locati Marks without our express prior written consent. Any use of the Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws.

5. Recipient Submissions

We accept and may post photographs, videos, letters, and other submissions from the recipients of our scholarships for purposes of publicizing our scholarship program and the achievements of our recipients. Recipients are under no obligation to submit material for our Site or otherwise promote our scholarship program. If you elect to provide us with a video submission documenting the impact of our program or a recipient’s use of the scholarship, we may post the video to our YouTube channel and link to it on our Site. YouTube videos (whether posted to our channel or our Site) are public. Do not provide us with any materials for posting to the internet if you do not intend to make the contents public.

You may contact us at any time to revoke your consent to our use of any photographs, videos, letters or other submissions you have previously provided to us. We will remove your material from our Site as soon as reasonably practicable. We do not guarantee, and make no representation or warranty, that removing the material from our Site or YouTube channel will prevent a third-party from retaining a copy of such material. YouTube may continue to access any material uploaded to our channel for a commercially reasonable time after we remove and delete your submission.

6. Correspondence

You may connect with us by submitting your name and email through our Site, along with an unstructured message. If you choose to provide us with your name and email, we may (but shall not be obligated to) contact you to answer your questions or provide you with information concerning our scholarship program. You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information (collectively, “Correspondence”) submitted to or through the Site by you are non-confidential and shall become our sole property. We shall own exclusive rights, including intellectual property rights, in all such Correspondence, and shall be entitled to the unrestricted use and dissemination of such Correspondence for any lawful purpose, commercial or otherwise, without notice, acknowledgement, or compensation to you.

Do not send us an unstructured message through the Site with confidential or sensitive information, including without limitation, any personal information concerning your child or scholarship applicant. Please send us a message with your name and email address and a general description of your request, such as “I have a question concerning a pending application.”

7. Scholarship Applications

Our scholarship application form is hosted by Jotform, a third-party service that facilitates the design, publication, and processing of online forms. In accordance with its contractual obligations, Jotform has implemented and will maintain commercially reasonable security measures to protect the information, data, and other content it receives through our Site. However, you hereby understand and agree that hosting data online involves risks of unauthorized disclosure or exposure and that, in accessing and using our recruiting platform, you are assuming such risks. We expressly disclaim any representation or warranty concerning the security of such data while in transit and offer no representation, warranty or guarantee that your information will not be exposed or disclosed through errors or the actions of third parties.

We depend on you to provide us with accurate information throughout the application process. We have no obligation to review your application for errors or to notify you in the event your application is incomplete, incorrect or unclear. You consequently agree, as a condition of submitting an application through our Site, that we will have no responsibility or liability for the accuracy of any data uploaded by you as part of a scholarship application, including without limitation, any denial of or failure to process your application resulting from incomplete or inaccurate information.

We review and award scholarships based on our Submission Criteria, which you can review at https://locatiedge.org/about-us/. These criteria are inherently subjective and involve an assessment of each application’s compatibility with our intent and mission. You acknowledge and agree, as a condition of submitting an application to us, that (i) we may deny your application based on our subjective assessment of such application against our Submission Criteria, (ii) we have no responsibility for providing you feedback with respect to your application or our grounds for denying your application, as applicable, and (iii) Locati Edge may award or deny any application in its sole and complete discretion.

8. Donations

We do not accept payments through our Site at this time. Do not provide any financial or billing information through our Site. All payments must be made by check mailed to the following address:

Our donation form is to be used solely for providing us with your contact information and the amount and frequency of your intended donation. We use this information to track and confirm the donations we receive by check, and to provide you with a receipt after your donation has been received.

Do not submit credit card or ACH account information through our online donation form. Doing so will result in a material breach of these Terms and we will not be responsible nor liable to you for any compromise or breach in the security of your accounts. Your disregard of this Section 8 will be entirely at your own risk and you hereby agree, as a condition of your use of the Site, to indemnify, defend and hold Locati Edge and its affiliates harmless from your violation of the terms hereof.

9. Third-Party Websites and Social Media.

Our Site may contain plug-ins that integrate third-party social media platforms and hyperlinks to external websites that we do not control (like YouTube). We are not responsible for, and these Terms do not apply to, the operation of any social media platform or external website operated by a third party (each, a “Third-Party Website”). Third-Party Websites, including any content available on or through such Third-Party Website, are not investigated, monitored, or checked for accuracy, appropriateness or completeness by Locati Edge. You agree that we shall not be responsible or liable for any Third-Party Websites accessed through our Site, or any content posted on, available through, or installed from a Third-Party Website. Links and plug-ins that connect to Third-Party Websites are provided solely for your convenience and if you use those links or plug-ins, you will depart the Site and be subject to the terms of use and privacy policies applicable to such Third-Party Website.

WE DO NOT WARRANT, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD-PARTY THROUGH THE SITE, ANY HYPERLINKED WEBSITE, OR ANY WEBSITE OR MOBILE APPLICATION FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND WE WILL NOT BE A PARTY TO OR IN ANY WAY RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THE OWNER OR OPERATOR OF ANY THIRD-PARTY WEBSITE.

10. Disclaimer of Warranties

You understand that we cannot and do not guarantee or warrant that files available for downloading from the Site or any Third-Party Website will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection.

TO THE FULLEST EXTENT PROVIDED BY LAW, we will not be liable for any loss or damage caused by a distributed denial-of-service attack or other technologically harmful material that may infect your computer equipment, computer programs, data, or other proprietary material due to your use of the SIte or any services or items obtained through the site or a third-party website or your downloading of any material posted on the site, or any website linked to it. locati edge DOES NOT REPRESENT, WARRANT, OR COVENANT THAT THE SITE OR ANY MATERIALS, CONTENT, PRODUCTS, OR SERVICES AVAILABLE ON OR THROUGH THE SITE ARE OR WILL BE ACCURATE, CURRENT, COMPLETE, FREE OF TECHNICAL AND TYPOGRAPHICAL ERRORS, RELIABLE, OR APPROPRIATE FOR ANY PARTICULAR USE TO WHICH YOU OR ANY THIRD PARTY MAY CHOOSE TO PUT THEM, THAT THEY ARE OR WILL BE AVAILABLE ON AN UNINTERRUPTED AND ERROR-FREE BASIS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE AND any locati edge content AVAILABLE ON OR THROUGH THE SITE ARE FREE OF VIRUSES OR OTHER DISABLING DEVICES OR HARMFUL COMPONENTS.

THE SITE is PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOUR USE OF THE SITE, ANY locati edge CONTENT AVAILABLE ON OR THROUGH THE SITE, AND OUR SCHOLARSHIP APPLICATION WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTieS, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. no statement or information, whether oral or written, obtained from LOCATI EDGE OR ANY AFFILIATE OR REPRESENTATIVE THEREOF in any means or fashion shall create any warranty not expressly and explicitly set forth in these terms.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL locati edge, ITS AFFILIATEs, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, LICENSORS OR SUPPLIERS (COLLECTIVELY, THE “locati edge parties”) BE LIABLE FOR ANY direct, indirect, CONSEQUENTIAL, exemplary, PUNITIVE, SPECIAL OR INCIDENTAL DAMAGES, including lost profit, lost revenue, loss of data, WHETHER FORESEEABLE OR UNFORSEEABLE, ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OR INABILITY TO USE THE SITE, YOUR COMMUNICATION OF INFORMATION THROUGH THE SITE, OR YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE SITE, WHETHER BASED IN CONTRACT, TORT, STATUTORY, OR OTHER LAW, EXCEPT IN THE CASE OF DEATH OR PERSONAL INJURY WHERE AND ONLY TO THE EXTENT THAT APPLICABLE LAW REQUIRES SUCH LIABILITY.

WITHOUT LIMITING ANY OF THE FOREGOING, IF any of the locati edge parties is FOUND LIABLE TO YOU OR TO ANY THIRD PARTY AS A RESULT OF ANY CLAIMS OR OTHER MATTERS ARISING UNDER OR IN CONNECTION WITH THESE TERMS, THE PRIVACY POLICY, THE SITE, THE locati edge CONTENT, OR YOUR USE OF THE SITE OR THE locati edge CONTENT, OUR CUMULATIVE, AGGREGATE, AND MAXIMUM LIABILITY FOR ALL SUCH CLAIMS AND OTHER MATTERS IN ANY CALENDAR YEAR SHALL BE LIMITED TO FIVE HUNDRED DOLLARS (USD $500.00).

THE LAW OF YOUR JURISDICTION MAY NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF SUCH A LAW APPLIES TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

ANY LEGAL ACTION BROUGHT BY YOU THAT ARISES OUT OF OR RELATES TO THESE TERMS OR YOUR ACCESS TO AND USE OF THE SITE OR ANY CONTENT AVAILABLE ON OR THROUGH THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ARISES.

12. Indemnification

You agree to defend, indemnify, and hold the Locati Edge Parties (defined in Section 11 above) harmless from and against any loss, damage, liability, claim or demand, including reasonable attorneys’ fees and expenses, made by any third party related to or arising out of: (i) your use of the Site; (ii) your breach of these Terms; (iii) any third party use of the Site or breach of these Terms, to the extent such third party was encouraged, facilitated, or aided by you in any way (including through the use of your device, whether authorized or not); (iv) any breach of your representations and warranties set forth in these Terms; (v) your violation of the rights of any third party, including but not limited to, any intellectual property or privacy rights; (vi) any harm to another user of the Site caused or facilitated by you or a device associated with you, whether intentional or not; (vii) your submission of personal information or materials to us in connection with a scholarship application and any omission or misrepresentation made by you in connection therewith (including, without limitation, with respect to your authority and legal right to grant parental consent or your age); and (viii) your involvement with or participation in any scholarship activity or opportunity for which we have awarded a scholarship. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will have the right to reject any settlement or compromise that requires that we admit wrongdoing or liability or subjects us to any ongoing affirmative obligations.

13. Governing Law

You hereby consent and irrevocably submit to the exclusive jurisdiction of the state and federal courts sitting in the State of Montana for resolution of any matters related to the interpretation, construction, or enforcement of these Terms, the Privacy Policy referenced herein, or otherwise related to or arising out of your access to and use of the Site, any Locati Edge Content available on or through the Site, or any recipient information provided by you to us. You hereby consent to, and waive, all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

14. Copyright Infringement

If you believe your work has been improperly copied or used on the Site, such that it constitutes infringement, please provide us with the following information: (i) name, address, telephone number, email address, and an electronic or physical signature of the copyright owner or of the person claiming to act on his/her behalf; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where on the Site the content that you claim is infringing is located; (iv) a written statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (v) a statement by you, made under penalty of perjury (in accordance with applicable law), that the information included in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on the Site, and the “Last Updated” date will reflect the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
